General Terms of Service

Please read these Terms of Service carefully.

Enzo Tedeschi Web Developments ("we," "us," "ETW") operates etweb.dev, a platform that lets customers choose a website Template, provision a hosted Site built on that Template, connect a custom domain, and manage their site through a customer dashboard. These services, including any template marketplace, hosting, domain-connection, and account management features, are collectively referred to as "Services."

By using our Services, Customer agrees to these Terms of Service and any other policies or terms referenced or published by us (collectively, the "Terms"). If Customer does not accept these Terms, Customer must not register an account or purchase, access, or use our Services in any way.

These Terms form a binding legal agreement between Enzo Tedeschi Web Developments and any person or organization who purchases, accesses, or uses our Services ("Customer" or "You"). Customer represents, warrants, and agrees that (a) Customer has the full power and authority to enter into and perform under these Terms, or (b) if Customer is using these Services on behalf of an organization, entity, or group, that Customer is authorized to accept these Terms.

Account Information

You agree to provide certain current, complete, and accurate information about you as required by the account creation process (which may include sign-in via Google or another supported identity provider), and to maintain or update this information as needed to keep it current, complete, and accurate. All such information shall be referred to as account information ("Account Information").
You hereby grant us the right to disclose to third parties, in accordance with our Privacy Policy and Data Processing Addendum, such Account Information for the purposes of fraud prevention and ensuring the security and integrity of our systems.
Providing any false Account Information is considered a violation of these Terms. Enzo Tedeschi Web Developments may deny the creation of an account should it feel in its sole discretion that any incomplete or inaccurate Account Information is provided during account creation. Any payments made incident to such a denied account will be refunded or canceled.
Enzo Tedeschi Web Developments may suspend or disable any existing account without refund should Customer willfully fail to promptly update Account Information upon its change, or fail to respond for over fifteen (15) calendar days to inquiries by Enzo Tedeschi Web Developments concerning the accuracy of any Account Information.

Financial Arrangements

All fees are billed in U.S. Dollars through our payment processor (Stripe) unless otherwise stated at checkout.

Customer agrees to a thirty (30) day contract minimum beginning upon commencement of a paid subscription. Exact billing interval (monthly or annual) is selected at signup.

Customer agrees that all charges and fees associated with an account are their sole responsibility. Failure to make payment within sixty (60) days of the due date may result in restriction of access to, or suspension of, the affected Site and Services.

If Customer wishes to cancel a Site subscription within thirty (30) days of initial signup, they may do so for any reason (aside from disablement for Terms of Service or incorporated policy violations) and have their most recent payment promptly refunded. Custom domain connection fees, third-party domain registration charges, and one-time template marketplace purchases are not covered by this 30-day refund and are non-refundable once provisioning or purchase has begun.

Services provided by third parties (for example, a domain registrar or app integration) are not part of the 30-day refund policy, and no early-ending credit applies. Billing will stop at the end of the term during which the Service is canceled.

Automatic Renewal: At the end of the billing term, a Site subscription will automatically renew at the then-current, non-promotional rate for the same billing interval indefinitely until canceled. At the end of any trial period, the applicable Service will convert to the corresponding paid Service and be charged at the applicable rate, unless canceled prior to the trial end date.

Enzo Tedeschi Web Developments will automatically renew the applicable subscription when it comes up for renewal and will take payment from the payment method on file with Stripe. If you do not wish for a subscription to automatically renew, you may cancel it, in which case your Services will terminate upon expiration of the then-current term. Any subscription must be canceled prior to its renewal date to avoid automatic renewal.

If Customer's payment method is expired, invalid, or otherwise unable to be charged, Customer agrees that Enzo Tedeschi Web Developments may attempt to charge another payment method on file, or an updated card provided by the card issuer through Stripe's account-updater service. Once a Service is terminated after the 30-day money-back window described above, the Service will be canceled before the next payment is due and no further billing will occur, nor will any payment be refunded, even for unused portions. Any non-refundable charges already incurred must be paid before the account may be canceled.

The 30-day money-back guarantee applies only to the first payment of a new Site subscription, paid by credit card or another supported Stripe payment method. Refunds are not available for the value of any trial period. Domain registrations and connection fees, once processed, are non-refundable under any circumstances. Any premium or paid Template purchased from the template marketplace is non-refundable once the associated Site has begun provisioning.

Violations of these Terms may, at Enzo Tedeschi Web Developments' discretion, result in immediate and permanent disablement without refund.

Enzo Tedeschi Web Developments reserves the right to disable or suspend without refund any account or Service at any time should it have a reasonable suspicion that the account is being used in violation of these Terms.

Disputed charges ("chargebacks") associated with any account, at Enzo Tedeschi Web Developments' discretion, may result in immediate and potentially permanent disablement of Services or the full account. Each rejected charge will incur a $25 fee on the account, which must be paid before any Services may be reactivated.

Enzo Tedeschi Web Developments reserves the right to modify Service plans, fees, and applicable charges, with at least fourteen (14) days' advance notice of any price increase affecting an existing subscription, delivered by email or dashboard notice. If Customer does not agree to a fee change, Customer may cancel the affected Service before the effective date without penalty. No refunds will be payable for fees already assessed or for partial billing periods.

Site Stores

Customer may enable "Site Store" on a Site to sell physical products directly to that Site's visitors. Site Store is governed by the separate Site Store Seller Addendum, incorporated here by reference, and products sold through a Site Store must comply with the Prohibited Items Policy.

Draft — pending legal review. Site Store is currently available in test mode only, pending completion of a legal review of its underlying payment-processing structure. See the Site Store Seller Addendum for current status.

Taxes

Enzo Tedeschi Web Developments shall not be liable for any taxes or other fees to be paid in accordance with or related to purchases made by Customer through our Services. Customer agrees to take full responsibility for all taxes and fees of any nature associated with such purchases, except any sales, VAT, or similar tax that Enzo Tedeschi Web Developments is legally required to collect and remit on Customer's behalf.

Content, Templates & Site Setup

Customer selects a Template and, through the customer dashboard, provides the branding materials needed to set up their Site — including contact information, colors, fonts, and any logo or image assets ("Site Content"). Customer is responsible for ensuring Site Content is accurate, complete, and ready to publish; Enzo Tedeschi Web Developments makes no effort to validate Site Content for correctness, legality, or fitness for any purpose beyond basic technical checks (such as file format or size) needed to complete setup.

Until Customer completes Site setup, a new Site will display a default starter/placeholder page provided by Enzo Tedeschi Web Developments rather than Customer's own content. Enzo Tedeschi Web Developments may update the design or content of this default page at any time without notice.

Enzo Tedeschi Web Developments will exercise no control whatsoever over Site Content, provided that it adheres to all other conditions set forth in our Terms of Service and Acceptable Use Policy.

Enzo Tedeschi Web Developments reserves the right to monitor Services to verify compliance with these Terms.

Customer agrees to cooperate in any reasonable investigation into their adherence to these Terms. Failure to cooperate is grounds for immediate disablement of all accounts/Services.

Enzo Tedeschi Web Developments reserves the right to disconnect any Site deemed to present a security threat to Enzo Tedeschi Web Developments' customers, infrastructure, or network.

The opening of multiple accounts or subscriptions in order to bypass any restrictions, overage charges, or trial limits set forth by Enzo Tedeschi Web Developments is grounds for termination of all Services.

Enzo Tedeschi Web Developments makes no warranties or representations of any kind, whether expressed or implied, for the Services it is providing, and disclaims any warranty of merchantability or fitness for a particular purpose. Enzo Tedeschi Web Developments will not be responsible for any damages suffered by Customer, including loss of data, resulting from delays, non-deliveries, or service interruptions caused by any reason, or from errors or omissions of the Customer. Use of any information obtained through our Services is at Customer's own risk. Enzo Tedeschi Web Developments expressly limits its damages to Customer for any period of Site unavailability to the pro-rata charge for that period, as further described under Service Availability below.

If Site Content is not fit to publish (for example, malformed uploads or content that violates the Acceptable Use Policy), Enzo Tedeschi Web Developments may, at its option and at any time, reject or remove that content, including after it has been published. Enzo Tedeschi Web Developments agrees to notify Customer of such rejection and afford Customer a reasonable opportunity to correct it. If Customer fails to do so within a reasonable period, the affected subscription may be terminated.

Certain Templates, including third-party or partner Templates, may include free versions of paid features. Enzo Tedeschi Web Developments may receive compensation from Customer's upgrade to, or purchase of, paid versions of such features.

Trademarks & Copyrights

Customer warrants that it has the right to use the trademarks and copyrights applicable to all Site Content and/or Templates being made available through Customer's account.

Feedback

If You make suggestions to Enzo Tedeschi Web Developments about improving or adding new features or Templates to the Service, or You otherwise provide feedback, reviews, or testimonials pertaining to the Service or Your experience with the Service, You hereby grant to Enzo Tedeschi Web Developments a perpetual, worldwide, exclusive, irrevocable, and royalty-free license, and right to use, copy, modify, or otherwise utilize your suggestions, feedback, reviews, or testimonials for any purpose, including but not limited to marketing purposes, without any notice, compensation or other obligation to You.

Hardware, Equipment & Software

The customer is responsible for and must provide all computer, internet, and software equipment and services necessary to access and use Enzo Tedeschi Web Developments' Services. Enzo Tedeschi Web Developments makes no representations, warranties, or assurances that Customer's equipment will be compatible with our Services.

Service Availability

Enzo Tedeschi Web Developments will use commercially reasonable efforts to keep each Site available at least 99.9% of the time during each monthly billing cycle, excluding scheduled maintenance and events outside our reasonable control.

"Unavailability" means the Site is unresponsive or returns a server error to valid requests for more than 60 consecutive seconds.
Unavailability caused by scheduled maintenance is excluded, provided such maintenance is announced at least 5 days in advance and does not exceed a total of one hour in any given month.
If Site Unavailability in a billing cycle exceeds the 99.9% target, Customer is eligible for a service credit calculated as a percentage of that cycle's bill, based on the minutes of qualifying Unavailability divided by the total minutes in the cycle, up to a maximum of 10% of the next billing cycle's fee.
Enzo Tedeschi Web Developments's assessment of downtime begins when Customer opens a support ticket reporting the issue; service credits must be claimed within 14 days of the Unavailability by submitting a support ticket with reasonable supporting detail.
Enzo Tedeschi Web Developments does not guarantee 100% uptime, and this section states Customer's exclusive remedy for any period of Unavailability.

Age

The Customer certifies that they are at least 18 years of age, or that their parent or legal guardian will act as the "customer" under this contract.

Termination

This contract may be terminated by either party, without cause, by giving the other party 14 days' written notice. Enzo Tedeschi Web Developments will accept termination notice by email. Notwithstanding the above, Enzo Tedeschi Web Developments may terminate Service under this contract at any time, without penalty, if Customer fails to comply with these Terms, including non-payment. Enzo Tedeschi Web Developments reserves the right to charge a reinstatement fee for reactivating a terminated account.

Limited Liability

Customer expressly agrees that use of Enzo Tedeschi Web Developments' Services is at Customer's sole risk. Neither Enzo Tedeschi Web Developments nor its employees, affiliates, agents, or third-party information providers warrant that the Services will be uninterrupted or error-free, nor make any warranty as to the results obtainable from use of the Services, or as to the accuracy, reliability, or content of any information or merchandise provided through the Services, unless otherwise expressly stated in this contract.
Under no circumstances, including negligence, shall Enzo Tedeschi Web Developments, its officers, agents, or anyone else involved in creating, producing, or distributing the Services be liable for any direct, indirect, incidental, special, or consequential damages resulting from use of or inability to use the Services, or from mistakes, omissions, interruptions, deletion of files, errors, defects, delays in operation or transmission, or any failure of performance, whether or not caused by acts of God, communication failure, theft, destruction, or unauthorized access to Enzo Tedeschi Web Developments' records, programs, or services. Customer acknowledges this paragraph applies to all content utilizing our Services.
Notwithstanding the above, Customer's exclusive remedies and Enzo Tedeschi Web Developments' total liability for all damages, losses, and causes of action, whether in contract, tort (including negligence), or otherwise, arising out of or in connection with these Terms or the use or inability to use the Services, shall not exceed the aggregate amount Customer paid to Enzo Tedeschi Web Developments during the six (6) months immediately preceding the claim.

Promotional Codes & Referrals

By using a promotional ("promo") code or referral link, you waive the option to separately indicate who referred you to Enzo Tedeschi Web Developments.
You may not change or submit a promo code, or attribute a referral, after you have finished signing up.
Promo codes and referral rewards are for new customers only — if you use one, you may not host on your account any domain or Site ever previously hosted with Enzo Tedeschi Web Developments.
Referral and affiliate payouts, where offered, are governed by the separate Affiliate Program Terms, incorporated here by reference.

Indemnification

Customer agrees that it shall defend, indemnify, save, and hold Enzo Tedeschi Web Developments harmless from any and all demands, liabilities, losses, costs, and claims, including reasonable attorneys' fees ("Liabilities"), asserted against Enzo Tedeschi Web Developments, its agents, its customers, or its officers and employees, that may arise or result from any Service provided or performed, or agreed to be performed, or any product sold by Customer, its agents, employees, or assigns. Customer agrees to defend, indemnify, and hold harmless Enzo Tedeschi Web Developments against Liabilities arising out of:

any injury to person or property caused by any products or Site Content sold or otherwise distributed through Customer's Site;
any material supplied by Customer infringing or allegedly infringing on the proprietary rights of a third party;
copyright infringement; or
any defective product which Customer sold through their Site.

Export Control

Customer agrees to comply with all applicable export control laws and regulations, including, without limitation, the U.S. Export Administration Regulations (EAR), the International Traffic in Arms Regulations (ITAR), and economic sanctions regulations administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC). Customer represents and warrants that it is not (i) located in, or a resident or national of, any country subject to U.S. embargo or sanctions, or (ii) identified on any U.S. government restricted party list, including, without limitation, the Specially Designated Nationals (SDN) List or any other sanctions lists administered by OFAC.

Customer covenants that it shall not — directly or indirectly — sell, export, re-export, transfer, divert, or otherwise dispose of any products, software, or technology (including products derived from or based on such technology) received from Enzo Tedeschi Web Developments under this Agreement to any destination, entity, or person prohibited by the laws or regulations of the United States, without obtaining prior authorization from the competent government authorities as required by those laws and regulations.

In the event that any transaction is denied, blocked, or reversed due to sanctions compliance obligations, including but not limited to restrictions involving sanctioned jurisdictions, entities, or individuals, Enzo Tedeschi Web Developments may suspend or disable the associated account or access without prior notice or refund.

Customer agrees to indemnify, to the fullest extent permitted by law, Enzo Tedeschi Web Developments from and against any fines or penalties that may arise as a result of Customer's breach of this provision. This Export Control clause shall survive termination or cancellation of this Agreement.

Other Terms and Policies

Customer agrees to abide by the terms set forth in this Terms of Service as well as other Enzo Tedeschi Web Developments policy documents, including, but not limited to, the following, each of which is incorporated herein by reference and, together with this Terms of Service, constitutes the entire agreement of the parties:

Customer also agrees to abide by all applicable terms set forth by Enzo Tedeschi Web Developments' partners and subsidiaries, where a specific partner integration is used on Customer's Site (for example, a payment provider or third-party app listed in the template marketplace). Applicable partner terms will be disclosed at the point that integration is enabled.

Contract Revisions

As Enzo Tedeschi Web Developments evolves, we may modify these Terms from time to time to reflect changes in our business. These modifications may include cancellation of outdated Templates or Services, additional fees, and changes to our policies, among others. In some instances, we may provide you with additional notice of updates, including but not limited to a statement on the website, a newsletter item, or an email notification. However, it is your responsibility to periodically check for the current version of our Terms by visiting this page (and other pages referenced in the Terms).

If you continue to use or access the Services after the effective date set forth above, you agree to be bound by any revised Terms, and all other terms or policies incorporated herein either directly or by reference.

Transfer

Customer may not assign or transfer Customer's rights or obligations under these Terms without the written consent of Enzo Tedeschi Web Developments.

Governing Law

The Terms and the resolution of any disputes shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws principles.
